Referral Partner Agreement
This Referral Partner Agreement (the “Agreement”) is entered into on 7 October 2026 (the “Effective Date”) between:
Company: Shivansh Modawal, Modawal Labs Ltd, of 14 Bishopsgate, London EC2N 4AJ
Partner: Omar Haddad, Adatum Ventures LP
Partner Finance: Marcus Reid, Adatum Ventures LP
(each a “Party” and together the “Parties”).
1. Referrals
1.1 The Partner may introduce prospective customers to the Company. An introduction qualifies as a Referral if the prospect is not already known to the Company and enters into a paid subscription within ninety (90) days of the introduction being registered in the Company's partner portal.
2. Commission
2.1 The Company shall pay the Partner a commission of twelve per cent (12%) of the net first-year subscription fees actually received from each Referral, quarterly in arrears, against a self-billed invoice.
2.2 No commission is payable on renewals, professional services, or fees refunded to the customer.
3. Conduct
3.1 The Partner shall not make any representation or warranty about the Company's products beyond the published documentation, shall not offer discounts, and shall comply with all applicable anti-bribery and data protection law.
4. Term
4.1 This Agreement continues for twelve (12) months and renews automatically unless either Party gives thirty (30) days' notice. Commission on Referrals registered before termination remains payable.
IN WITNESS WHEREOF the Parties have executed this Agreement as of the Effective Date.
