Licence to Underlet
This Licence to Underlet (the “Agreement”) is entered into on 2 November 2026 (the “Effective Date”) between:
Landlord: Rachel Stone, Bishopsgate Estates LLP
Tenant: Shivansh Modawal, Modawal Labs Ltd, of 14 Bishopsgate, London EC2N 4AJ
Undertenant: Kenji Watanabe, Fabrikam Analytics GmbH
(each a “Party” and together the “Parties”).
1. Consent
1.1 The Landlord consents to the Tenant underletting the Underlet Premises to the Undertenant by an underlease in the agreed form for a term expiring three days before the end of the Term.
2. Conditions
2.1 The consent is conditional on the underlease being completed within three (3) months of the date of this Licence and a certified copy being delivered to the Landlord within one (1) month of completion.
2.2 The Tenant remains liable to the Landlord for all tenant covenants in the Lease notwithstanding the underletting.
3. Costs
3.1 The Tenant shall pay the Landlord's reasonable legal and surveyor's costs in connection with this Licence, whether or not the underlease completes.
IN WITNESS WHEREOF the Parties have executed this Agreement as of the Effective Date.
